Terms of Service
These terms cover use of this website and the general basis on which we take on work. Every project also has its own signed agreement — where the two differ, the signed agreement wins.

Who these terms are with
This website is operated by Caliency LLC, a limited liability company registered in Delaware, United States. By browsing this site you accept these terms. If you engage us for work, the project agreement we both sign governs that work, and these terms fill any gaps.
Using this website
You may read, share, and reference anything published here. You may not copy the site's design, code, or written content wholesale to build a competing offering, scrape it at a scale that degrades service for others, or misrepresent it as your own work.
Everything on this site — copy, design, code, and brand assets — remains our intellectual property unless stated otherwise. Article content may be quoted with attribution and a link.
Scope and quotes
We quote after a scoping conversation, not before. A quote sets out exactly what is included, what is not, and when it will be delivered. Quotes are valid for 30 days.
The price we quote is the price you pay for that scope. If you later ask for work outside it, we will tell you before doing anything and quote it separately — we never add charges to an invoice you have not approved in advance.
Indicative prices shown on this website are starting points for typical projects. They are not offers and do not bind either of us until a written quote is issued and accepted.
Payment
Unless the project agreement says otherwise, we invoice against agreed milestones rather than hours. Invoices are payable within 14 days of issue.
If an invoice is significantly overdue we may pause work after giving you notice. We would rather talk about it than stop — if cash flow is tight, tell us early and we will find a workable schedule.
How we deliver
We work in weekly increments. Every week of an active project you receive something testable — a build, a deployed preview, or a working environment — rather than a status report.
Timelines assume you come back to us on reviews and approvals within a reasonable period. If feedback stalls, delivery dates move by the same amount; we will always flag this rather than let a date quietly slip.
What we need from you
To hit the dates we quote, we need:
- One person who can make decisions and give final approval
- Content, brand assets, and access to any systems we must integrate with
- Feedback consolidated into a single response per review round
- Confirmation that anything you supply is yours to use
You are responsible for the legality of the content you give us and for holding the rights to it. We are responsible for the code and design we produce.
Intellectual property
On final payment, full ownership of the deliverables — source code, design files, and the accounts we set up in your name — transfers to you outright. There is no licence fee, no lock-in clause, and no requirement to keep us on to keep it running.
Two exceptions, which are normal and do not restrict you: we keep ownership of any pre-existing tooling and generic components we bring to the project, licensed to you perpetually for use in the delivered work; and third-party software keeps its own licence. We may describe the work publicly and show it in our portfolio unless you ask us in writing not to.
Confidentiality
Anything you share with us about your business, product, or roadmap is treated as confidential and used only to do your work. We will sign your NDA on request, and we will not name you as a client if you prefer we did not.
Warranty and support
We warrant that the work will materially match what the quote describes. If something we built does not, tell us and we will fix it at no charge.
Every project includes a post-launch support window, stated in the quote, covering defects and minor adjustments. It does not cover new features, third-party service outages, or changes made by other parties to code we delivered. Beyond that window, ongoing work is available under a separate arrangement.
Liability
Nothing in these terms limits liability for fraud, death, or personal injury caused by negligence, or anything else that cannot lawfully be excluded.
Otherwise, our total liability for any claim connected with a project is limited to the fees you paid us for that project. We are not liable for indirect or consequential loss, including lost profit, lost revenue, or lost data. We recommend you keep independent backups of anything you cannot afford to lose.
Ending an engagement
Either of us may end a project in writing. If you end it early, you pay for work completed and irreversibly committed up to that point; anything already delivered and paid for is yours, and we will hand over cleanly rather than hold work hostage.
We may end an engagement if the working relationship becomes unworkable — for example, sustained non-payment or abusive conduct toward the team. This is rare, and we would raise it with you first.
Governing law
These terms are governed by the laws of the State of Delaware, United States, and the courts of Delaware have exclusive jurisdiction — unless a signed project agreement specifies otherwise. Nothing here removes consumer protections you have under the mandatory law of your own country.
If any clause turns out to be unenforceable, the rest stays in force.
